Terms of Service

1. Acceptance of Terms

By accessing or using the TruthLedger platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

TruthLedger provides a business reputation management platform that enables small and medium-sized businesses ("SMBs") to:

  • Negotiate and finalize trade deals through AI-assisted deal terms
  • Execute transactions through third-party escrow providers
  • Build a Trust Score based on verified transaction history
  • Import transaction history from supported payment and commerce platforms
  • Receive and give dual-blind reviews on completed transactions

TruthLedger is NOT a credit bureau, credit reporting agency, or financial institution. The TruthLedger Trust Score is a proprietary reputation index and does not constitute a credit report, credit score, or consumer report under any applicable law.

3. Eligibility

The Service is available to registered businesses only. By using the Service, you represent that:

  • You are authorized to bind your business entity to these Terms
  • Your business is legally registered in your jurisdiction
  • You are at least 18 years of age

4. User Accounts

4.1 Registration

You must provide accurate and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials.

4.2 Account Security

You must notify TruthLedger immediately of any unauthorized access to your account. TruthLedger is not liable for losses arising from unauthorized account access.

5. Data Import & Attestation

5.1 User-Initiated Imports

When importing data from third-party platforms (Stripe, Shopify, Amazon, PayPal, etc.), you certify that the data belongs to your business, you have authorization to share it with TruthLedger, and the data is accurate and has not been manipulated.

5.2 Legal Attestation

Before any data import, you must complete a legal attestation confirming data accuracy. Submitting false, fabricated, or misleading data is a violation of these Terms and may result in account suspension, legal action, and reporting to relevant authorities.

5.3 API Keys

API keys are used once for import and are never stored. You are responsible for the security of your API credentials.

6. Trust Score

The TruthLedger Trust Score is a proprietary reputation index derived from verified transaction history, counterparty reviews, and data source diversity. It is NOT a credit score or credit report. The methodology is transparent to users and calculated across multiple pillars including payment history, dispute rate, escrow completions, data diversity, and account longevity.

You have the right to dispute your Trust Score at any time. Disputes are reviewed by a human reviewer within 30 days.

7. Escrow Services

TruthLedger facilitates escrow transactions through third-party providers (Escrow.com, Tazapay). TruthLedger does not hold, transmit, or process funds. Your use of escrow services is governed by the respective escrow provider's terms of service.

8. Prohibited Conduct

  • Submit false, fabricated, or misleading data
  • Manipulate or game the Trust Score system
  • Create multiple accounts for the same business
  • Use the platform for money laundering or other illegal activity
  • Attempt to reverse-engineer the scoring algorithm
  • Harass, threaten, or defame other users
  • Engage in trade with sanctioned countries, entities, or individuals

9. AI-Generated Content

TruthLedger uses artificial intelligence to generate suggested deal terms, counter-offers, and trade recommendations. All AI-generated content is provided as suggestions only and does not constitute legal, financial, tax, or professional advice. You are solely responsible for reviewing all AI-generated terms and ensuring compliance with applicable laws.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRUTHLEDGER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL. TruthLedger's total aggregate liability shall not exceed the greater of (a) the amount paid by you in the 12 months preceding the claim, or (b) one hundred Euro (€100).

11. Governing Law

These Terms are governed by applicable law. TruthLedger reserves the right to update these Terms at any time. Continued use of the Service constitutes acceptance of the updated Terms.
